1. Introduction
These Terms of Trade ("Terms") govern all quotations, sales, purchase orders, invoices, supplies, exports, and other commercial transactions between Shrinath Handicraft ("Shrinath Handicraft", "we", "us", or "our") and the purchasing customer ("Buyer", "you", or "your").
Shrinath Handicraft operates as a manufacturer, supplier, wholesaler, and exporter of handcrafted products, including wooden, metal, and other decorative and lifestyle products, as specified in individual quotations, product listings, invoices, or purchase orders.
By submitting an enquiry, requesting a quotation, placing an order, approving a sample, making payment, or otherwise proceeding with a transaction, the Buyer acknowledges and agrees to these Terms.
For international transactions, these Terms should be read together with the applicable quotation, proforma invoice, commercial invoice, purchase order, and agreed shipping terms.
2. Business-to-Business Transactions
Our products and services are primarily offered to:
- Importers
- Wholesalers
- Distributors
- Retailers
- Interior and lifestyle businesses
- Hospitality businesses
- Trade buyers
- International sourcing companies
- Corporate buyers
Unless expressly agreed otherwise in writing, transactions are considered business-to-business (B2B) transactions.
The Buyer is responsible for ensuring that the products ordered are suitable for its intended commercial use, market, customer requirements, and applicable local regulations.
3. Product Information
Our products are handcrafted and may involve natural materials and manual finishing. Therefore, variations may occur in:
- Colour
- Texture
- Grain
- Finish
- Dimensions
- Weight
- Pattern
- Surface appearance
- Minor handmade characteristics
Such variations shall not automatically be considered defects where they are consistent with the nature of handcrafted products.
Product photographs displayed on our website are intended for representation purposes. Actual products may vary slightly due to lighting, photography, screens, natural material characteristics, and handcrafted production.
4. Product Specifications
Product specifications such as dimensions, materials, finishes, colours, packaging, weight, and other characteristics will be stated in the applicable quotation, product specification, proforma invoice, or purchase order where relevant.
Where the Buyer requires specific technical specifications, the Buyer must communicate those requirements before placing the order.
Once production has commenced, changes to approved specifications may not be possible or may result in additional costs and delays.
5. Quotations
All quotations issued by Shrinath Handicraft are subject to availability, material availability, production capacity, and confirmation by the Buyer.
Unless otherwise stated in writing, quotations may include:
- Product price
- Packaging charges
- Applicable taxes, where applicable
- Freight/shipping charges, where specifically mentioned
- Other agreed charges
Any quotation that does not specify a validity period shall generally remain subject to confirmation and may be revised before order acceptance.
Prices may change due to changes in:
- Raw material costs
- Labour costs
- Packaging costs
- Freight charges
- Currency exchange rates
- Government duties or taxes
- Supplier costs
- Other relevant commercial factors
6. Order Acceptance
An order shall become binding only after written acceptance by Shrinath Handicraft and, where applicable, receipt of the agreed advance payment. A purchase order issued by the Buyer does not automatically constitute acceptance of the order.
We reserve the right to:
- Accept or reject an order;
- Request clarification;
- Modify delivery timelines;
- Require an advance payment;
- Request additional documentation; or
- Decline an order where fulfilment is not commercially or operationally feasible.
7. Minimum Order Quantity (MOQ)
Certain products may be subject to a Minimum Order Quantity ("MOQ"). MOQ requirements may vary according to:
- Product, Size & Material
- Customization & Packaging
- Production requirements
- Destination & Order volume
The applicable MOQ will be communicated in the quotation or order confirmation. For customized or private-label orders, higher MOQs may apply.
8. Samples
Samples may be provided upon request and may be subject to sample charges and shipping charges. Sample charges may or may not be adjustable against a subsequent bulk order depending on the commercial agreement.
A sample approved by the Buyer may be used as the reference for subsequent production. However, because products may be handmade, minor variations may still occur.
9. Custom and Private-Label Orders
We may accept customized or private-label orders subject to feasibility and commercial agreement. Customization may include:
- Size, Shape, Colour & Finish
- Material selection & alloy mixes
- Engraving, Logo & Branding
- Packaging, barcodes & private-label boxes
The Buyer must provide accurate artwork, logos, measurements, technical specifications, and other required information. The Buyer is responsible for ensuring that any logo, artwork, design, trademark, or intellectual property supplied to us does not infringe the rights of any third party.
Customized products may not be eligible for cancellation, return, or refund after production has commenced, except where otherwise agreed in writing or where applicable law requires otherwise.
10. Artwork and Design Approval
Where artwork, branding, engraving, printing, packaging designs, or other customized elements are involved, production may begin only after the Buyer approves the final design where approval is required.
The Buyer is responsible for checking spelling, measurements, colours, logos, product details, packaging information, artwork, and branding information. Once approved, changes may result in additional costs and/or production delays.
11. Pricing and Currency
Prices will be quoted in the currency specified in the quotation or proforma invoice (USD, EUR, GBP, AUD, CAD, or INR). Unless expressly stated otherwise, prices do not include costs that are the Buyer's responsibility under the agreed delivery terms.
Currency conversion, bank charges, payment gateway charges, correspondent bank charges, and other transaction fees may apply depending on the payment method and agreement.
12. Payment Terms
Payment terms will be specified in the applicable quotation, proforma invoice, or order confirmation. Depending on the order, payment may be structured as:
- 100% advance payment;
- Partial advance with balance before dispatch;
- Irrevocable Letter of Credit (L/C);
- Direct Telegraphic Transfer (T/T / Wire Transfer);
- Other mutually agreed payment arrangements.
For customized, private-label, or made-to-order products, an advance payment is required before production begins. The Buyer shall be responsible for ensuring that the full invoiced amount is received by Shrinath Handicraft after deduction of any bank or transaction charges applicable to the Buyer's payment.
13. Production
Production shall begin after receipt of the required payment and final approval of specifications, artwork, or samples, where applicable. Estimated production times are provided in good faith and may vary depending on order quantity, product complexity, customization, material seasoning, seasonal demand, labour availability, packaging requirements, and unforeseen production circumstances.
14. Delivery and Shipping
International shipments may be arranged through air freight, sea freight, courier, freight forwarders, or logistics providers under internationally recognized Incoterms® (e.g. FOB Nhava Sheva / Mundra, CIF, CFR, EXW, DDP) as stated in the proforma invoice.
15. Export Documentation
Standard export documentation provided includes: Commercial Invoice, Packing List, Bill of Lading / Airway Bill, Certificate of Origin, and Fumigation / Phytosanitary certificates where required for timber products. The Buyer is responsible for providing accurate consignee, tax, and customs details.
16. Customs, Duties and Import Taxes
Unless expressly agreed under DDP terms, the Buyer is responsible for all destination-country costs including import duties, VAT/GST, customs clearance fees, demurrage, port storage, and local inspection charges.
17. Risk and Title
Transfer of risk is governed by the agreed Incoterms®. Ownership and title to goods remain with Shrinath Handicraft until full payment has been received in cleared funds.
18. Inspection Before Shipment
Buyers may request pre-shipment inspections (e.g., SGS, Bureau Veritas, or internal audit) with reasonable notice. Inspection fees shall be borne by the requesting party unless agreed otherwise in writing.
19. Damage or Shortage During Transit
The Buyer must inspect shipments upon arrival. Visible transit damage must be noted on the delivery receipt, photographed/videotaped clearly, and reported to the carrier and to Shrinath Handicraft within the designated claim period.
20. Claims for Defective or Incorrect Products
Claims must be notified in writing within a reasonable period after receipt, accompanied by invoice number, SKU, quantity affected, description, high-resolution photographs, and packaging condition. Valid claims will be resolved via replacement, credit note, repair, or mutual agreement.
21. Returns and Cancellations
Cancellation requests must be submitted in writing. Once procurement or production has commenced, cancellation may forfeit advance payments to cover material and labour costs already incurred. Custom or private-label orders cannot be returned due to change of preference.
22. Wholesale Orders
Wholesale buyers are responsible for providing complete corporate registration, VAT/EIN numbers, shipping addresses, and verifying proforma invoices prior to dispatch confirmation.
23. Packaging
Standard packaging includes ISTA drop-tested export cartons, edge protectors, and moisture-barrier film. Specialized fumigated crates, heat-treated pine pallets (ISPM-15), or custom retail packaging are available upon request.
24. Product Compliance
The Buyer is responsible for advising on specific destination regulations (e.g. Lacey Act, EUTR/UKTR, Prop 65, REACH). Timber used is legally sourced and kiln-seasoned.
25. Intellectual Property
All trademarks, catalog designs, product photographs, and text remain the property of Shrinath Handicraft. Client-supplied private label artwork remains the client's property.
26. Product Photography and Marketing
Unless non-disclosure is requested in writing for proprietary OEM collections, Shrinath Handicraft reserves the right to document handcrafted items for guild archives and trade portfolios.
27. Confidentiality
Both parties agree to treat pricing structures, proprietary specifications, CAD drafts, and commercial arrangements as strictly confidential.
28. Force Majeure
Neither party shall be liable for delays or non-performance caused by acts of God, extreme weather, natural disasters, port blockades, pandemics, civil strikes, or governmental trade restrictions.
29. Limitation of Liability
Shrinath Handicraft's maximum liability arising from any order shall not exceed the total invoice value paid by the Buyer for the affected goods.
30. Buyer Responsibilities
The Buyer is responsible for timely specification confirmations, advance payments, destination customs clearances, and providing adequate receiving facilities for container offloading.
31. Website Information
Website information is provided for trade preview. Binding commitments arise only upon issuance of an approved proforma quotation.
32. Third-Party Services
We partner with reputable shipping lines, testing agencies, and freight forwarders, but cannot be held directly responsible for third-party shipping delays.
33. Payment Security and Fraud Prevention
Buyers should verify corporate bank details via verified telephone/WhatsApp before wiring funds. Shrinath Handicraft never requests payments to personal unverified accounts.
34. Anti-Bribery and Ethical Business Practices
We strictly enforce ethical fair-trade artisan compensation, safe workshop standards, and prohibition of corrupt commercial practices.
35. Compliance with Laws
Both parties shall comply with all applicable regional and international trade laws, export controls, and commercial statutory requirements.
36. Governing Law
These Terms of Trade shall be governed by and construed in accordance with the laws of India. Competent courts in Thane / Mumbai, Maharashtra shall have exclusive jurisdiction.
37. Dispute Resolution
Commercial disputes shall first be addressed through amicable executive dialogue within 30 days, followed by formal commercial mediation if necessary.
38. Amendments to These Terms
Shrinath Handicraft reserves the right to amend these Terms. Contracted orders remain governed by terms in force at proforma confirmation.
39. Severability
If any clause is held unenforceable, remaining provisions remain in full legal force and effect.
40. Entire Agreement
These Terms, together with the approved proforma quotation and purchase invoice, constitute the complete commercial agreement between the parties.
41. Buyer Acceptance
By placing an order, remitting advance payments, or approving technical drawings, the Buyer explicitly accepts and agrees to be bound by these Terms of Trade.
